Hold Harmless and Indemnification Agreement

This Hold Harmless and Indemnification Agreement (the “Agreement”) is entered into between you, the member/cleint, and Best Slope Designs LLC, the Service Provider.

1. Indemnification

a. Client shall indemnify Service Provider against all claims, liabilities, and costs, including attorney fees, of defending any third-party claim or suit arising from the use of the developed content provided under this Agreement and the Proposal.

b. Service Provider shall indemnify Client against any loss, damage, expense, or cost, including attorney fees, arising from a third-party lawsuit against Client based upon a claim that the developed content breaches a third-party’s patent, copyright, or trade secrets rights.

2. Limitation of Liability

a. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES THAT THE OTHER PARTY MAY INCUR BY REASON OF ITS HAVING ENTERED INTO OR RELIED UPON THIS AGREEMENT, REGARDLESS OF THE FORM OF ACTION IN WHICH SUCH DAMAGES ARE ASSERTED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE. IN NO EVENT SHALL EITHER PARTY'S LIABILITY TO THE OTHER PARTY FOR DAMAGES OF ANY NATURE EXCEED THE TOTAL AMOUNTS PAID OR TO BE PAID HEREUNDER.

b. This includes, but is not limited to, occurrences outside of Service Provider’s control such as a data breach, server crash, site outage, and delays/functionality issues stemming from a third party.

LinkedIn Automation Acknowledgement and Hold Harmless Agreement

c. The Participant acknowledges that the use of LinkedIn automation tools as part of the service entails inherent risks, including but not limited to the potential for account suspension, banning, or other penalties as per LinkedIn's Terms of Service. The Participant agrees that they are using these tools at their own risk and discretion and have been advised to familiarize themselves with LinkedIn's Terms of Service.

d. The Participant hereby agrees to hold the Service Provider harmless from any and all claims, damages, losses, liabilities, and expenses arising out of or in connection with the use of LinkedIn automation tools. This includes, but is not limited to, any actions taken by LinkedIn against the Participant's account, such as bans, suspensions, or other forms of penalization due to the use of such tools.

e. The Service Provider shall not be liable for any repercussions, including account suspension or banning, that the Participant may face as a result of violating LinkedIn's Terms of Service. The Participant assumes full responsibility for the consequences of using automation tools and agrees that the Service Provider shall not be held accountable for any actions taken by LinkedIn against the Participant's account.
